Hill & Smith Holdings PLC ('Hill & Smith' or the 'Company') announces that it
has today posted a circular to shareholders (the 'Circular') giving full details
of its proposed acquisition of a further 34.9% shareholding in its associated
company Zinkinvent GmbH.
Completion of the acquisition is conditional on approval by Hill & Smith's
shareholders at an Extraordinary General Meeting of the Company being convened
on 2 July 2007.
Copies of the Circular may be obtained from the registered office of the Company
at 2 Highlands Court, Cranmore Avenue, Shirley, Solihull, West Midlands B90 4LE.
Copies of the Circular have today been sent to the UK Listing Authority and will
shortly be available for inspection at the UK Listing Authority's Document
