Hill & Smith Holdings PLC ('Hill & Smith' or the 'Company') announces that it
has been informed today that on 15 March 2005, First Coin Limited, a company in
which Mr D L Grove, a Director of Hill & Smith, has a controlling interest, sold
65,000 ordinary shares at a price of 170p.

As a result of this transaction Mr Grove's holding in Hill & Smith ordinary
shares has reduced from 1,275,945 ordinary shares to 1,210,945 (representing
1.93% of the total ordinary shares in issue).
