DIRECTOR SHARE OPTIONS

Hill & Smith Holdings PLC (the 'Company' or 'Hill & Smith') announces that, at a
meeting of the Board held on 9 December 2004, the following directors were
granted options over Hill & Smith ordinary shares under the Company's Savings
Related Share Option Scheme:

Mr D L Grove    12,360              100p               1 January 2010
Mr C J Burr     12,360              100p               1 January 2010

Following the grant of these options, Mr Grove holds, in aggregate, options
granted by the Company over 512,360 Hill & Smith ordinary shares and Mr Burr
holds, in aggregate, options granted by the Company over 212,360 Hill & Smith
ordinary shares.
