The Company has today been notified that Caledonia General Investments Limited
has an interest in 5,155,738 Ordinary Shares of 25p each, representing 8.68
per cent. of the issued share capital of Hill & Smith Holdings PLC.

By virtue of the provisions of section 203 of the Companies Act 1985,
Caledonia Investments plc, of which Caledonia General Investments Limited is a
wholly owned subsidiary, and The Cayzer Trust Company Limited, a substantial
shareholder in Caledonia Investments plc, are also deemed to be interested in
the above mentioned shares.
