Hill & Smith Holdings PLC (the 'Company') announces that on 15 September 2005 it
was notified by Aviva plc that its subsidiary Morley Fund Management Limited
purchased 475,000 ordinary shares in the Company on 13 September 2005.

Following this purchase Morley Fund Management is interested in 2,771,826
ordinary shares, representing 4.4% of the issued ordinary share capital of the
Company.

The registered holders of these ordinary shares are:
