Hill & Smith Holdings PLC ('the Company') was notified on November 2nd, 2004
that, as a result of the sale on November 1st, 2004 of its entire holding of
5,155,738 ordinary shares of 25p, Caledonia Investments plc no longer has an
interest in the Company.

The Cayzer Trust Company Limited, a substantial shareholder in Caledonia
Investments plc, is also deemed to be no longer interested in the
above-mentioned shares.
