Hill & Smith Holdings PLC ('the Company') announces that on 17 December 2004 
it received notification that Hampson Holdings (WB) Limited, a company owned 
by Mr GH Silk and Mr PH Silk, had disposed of 250,000 ordinary shares in the 
Company.

This disposal reduces the shareholding interest of Mr GH Silk to 3,633,930 
ordinary shares (representing 5.85% of the issued ordinary share capital of 
the Company), and of Mr PH Silk to 3,634,731 ordinary shares (representing 
5.86% of the issued ordinary share capital of the Company).
