Hill  &  Smith  Holdings PLC ('Hill  &  Smith')  -  Board
Changes

Following the declaration of the offer by Hill & Smith
for Ash & Lacy plc as wholly unconditional on 2 November
2000, the following Board changes have taken place.
Christopher Burr has been appointed as Finance Director
of Hill & Smith and Howard Marshall has been appointed
non-executive Director of Hill & Smith, both with
immediate effect. Howard Everett has resigned as Group
Finance Director of Hill & Smith. He will however remain
on the Board as Executive Director and Company Secretary.

The information requiring disclosure under paragraphs
16.4a and 6.F.2 (b) to (g) in respect of Messrs. Burr and
Marshall was included in the listing particulars issued
on 11 October 2000.

The board of the Company now comprises:

David Winterbottom - Chairman
David Grove - Deputy Chairman and Chief Executive
Christopher Burr - Group Finance Director
Howard Everett - Executive Director & Company Secretary
Howard Marshall - Non-Executive Director
Simon Knott  - Non-Executive Director
Richard Richardson -  Non-Executive Director
