Director's Shareholdings
Hiscox plc (the 'Company') was notified on 7 April 2005 that, following a
purchase of 50,000 ordinary shares of 5p each in the Company at a price of
£1.5775, Stuart Bridges now has a beneficial interest of 336,363 ordinary shares
or 0.1% of the issued share capital of the Company.
Hiscox plc was also notified on 7 April 2005 that, following a purchase of 4,750
ordinary shares of 5p each in the Company at a price of £1.59, Robert Hiscox now
has a beneficial interest of 8,916,809 ordinary shares or 3.03% of the issued
share capital of the Company. Robert Hiscox also has a non-beneficial interest
of 557,715 ordinary shares or 0.2% of the issued share capital of the Company.
The executive directors of the Company are potential beneficiaries of the
Company's employee share ownership plan trust ('ESOP') and are therefore also
each deemed to have an additional non-beneficial interest in 325,434 ordinary
shares owned by Hiscox Trustees Limited, the trustee of the ESOP.
