Disposal
Holders Technology plc announces that it has reached agreement to sell its 81%
stake in its telecommunications services subsidiary, Justfone Limited, to a
private investor. The disposal follows the strategic review that was undertaken
during the first half of this financial year.
The terms of the sale agreement will provide cash payments to Holders of
£150,000 immediately and £112,000 in instalments over 5 years. Further amounts
of up to £250,000 are potentially payable to Holders, depending on Justfone's
financial results over the next three years.
Commenting on the disposal, Group Finance Director, Jim Shawyer, said:
'Justfone has very promising technologies, particularly in network-based
location services.
Faced with conflicting investment priorities, Holders has decided to concentrate
on the printed circuit board materials business, where we are building a
pre-eminent European position in our sector. The new investment that the private
investor brings to Justfone gives it the best chance of success.
