                            DIRECTORS' SHAREHOLDINGS

The Company has been advised by Yorkshire Building Society ('YBS') that YBS, as
trustee of the Home Retail Group UK Approved All-Employee Plan ('the Plan'), now
holds 1,426,243 ordinary shares of 10 pence each in the Company on behalf of the
Plan. The notification from YBS was received by the Company on 21 February.

As announced on 5 February, the holding at that date was 1,426,782 ordinary
shares.

Directors of the Company are potential beneficiaries of the Plan and accordingly
any changes in the shareholding by the Plan are deemed to change their interests
in the ordinary share capital of the Company. However, no director or person
discharging managerial responsibility exercised any options and no shares were
released to them. The balances of shares in respect of their personal interests
therefore remain unchanged.
