HONGKONG LAND HOLDINGS LIMITED ('HKLH')
DISCLOSURE OF INTERESTS - SUBSTANTIAL SHAREHOLDER

On 27th March 2001, HKLH was notified that on 19th March 2001, Credit Agricole
Lazard Financial Products Bank ('CAL FP Bank') was interested in 74,198,960
ordinary shares of HKLH (the 'Shares') representing 3.02% of the issued ordinary
share capital of HKLH.



The registered holder of the Shares is The Central Depository (Pte) Limited.

CAL FP Bank also advised HKLH that the following entities were deemed to be
interested in the Shares beneficially owned by it: Credit Agricole Lazard
Financial Products Limited, Caisse Nationale de Credit Agricole S.A.
('CNCA'), Three Houses Investment Company Limited, Lazard
Bank, Limited, Lazard Freres S.A. and Lazard Freres & CO. LLC.  CAL FP Bank
has advised that CNCA has a further interest in the ordinary shares of HKLH
representing 0.02% of the issued ordinary share capital of HKLH.
