Director Shareholding
On 21 June 2005, Hornby Plc (the 'Company') was informed that the Hornby
Employee Benefit Trust (the 'Trust') acquired by acquisition in the market on 20
June 2005, at an average price of 221.0p per share, a total of 164,861 ordinary
shares of 1p each ('Ordinary Shares') representing 0.44% in the capital of the
Company. On the same day, under the terms of the Trust, 130,804 Ordinary Shares
were transferred to beneficiaries of the Trust, including 39,175 Ordinary Shares
to Frank Martin and 23,272 Ordinary Shares to John Stansfield, both executive
directors of the Company. Frank Martin and John Stansfield immediately sold
these Ordinary Shares at 220.0p per share.
As a result of the above transactions, the Trust, Frank Martin and John
Stansfield now hold the following number of Ordinary Shares:

*On 21 June 2005, as beneficiaries and under the terms of the Trust, Frank
Martin and John Stansfield were allotted 62,434 and 22,621 Ordinary Shares
respectively to be held in the Trust. As a result, Frank Martin and John
Stansfield have been allotted in total 163,749 (or 0.44%) and 74,614 (or 0.20%)
Ordinary Shares held in the Trust respectively. None of these shares have
vested.
