NOTIFICATION OF TRANSACTIONS OF PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY

The Company announces that on 8 April 2016 the following shares were granted to Executive Directors and Persons Discharging Managerial Responsibilities ("PDMR") under the Howden Joinery Share Incentive Plan (the "SIP") as detailed in the table below:

Awards of shares granted under the SIP are not subject to any performance conditions.  Under normal circumstances, the awards will vest in full subject to the Executive Director or PDMR remaining an employee of Howdens until the third anniversary of the date of grant, as defined in the rules of the scheme.

No consideration was paid for the acquisition of the awards. 

This notification is made in accordance with DTR 3.1.4R(1)(a) of the FCA's Disclosure and Transparency Rules.
