MFI FURNITURE GROUP PLC
DIRECTORS' SHAREHOLDINGS.
We hereby notify you that we were advised on 22 December 2000 that the trustee
of the MFI Employee Share Trust (the 'Trust') acquired 210,219 MFI Furniture
Group Plc ordinary 10p shares ('MFI Shares') on 22 December 2000 at 69 pence
per share in connection with the operation of the MFI 2000 Share Option Plan
(the 'Plan').
All the executive directors of MFI Furniture Group Plc (the 'Company') are
deemed to be interested in all of the shares held by the trustee of the Trust
as potential beneficiaries of the Trust.
Martin Clifford-King, Finance Director, has today been granted options at 68.5
pence per share under Section 1 (Inland Revenue approved Option), Section 2
(Unapproved Option) and Section 3 (Performance Option) of the Plan ('Grants').
The Company was therefore notified on 22 December 2000 that Martin
Clifford-King had the following interests in the ordinary shares of the
Company by virtue of such Grants being made, such notification having been
given in accordance with Section 324 of the Companies Act 1985:

* excludes those shares acquired by the Trustee of the Trust in which Mr
Clifford-King is deemed to have an interest as described above.
