THE MFI 2000 SHARE OPTION PLAN

We hereby notify you that we were advised on 20 March 2001 that the Trustee of
the MFI Employee Share Trust ('the Trust') acquired 30,985 ordinary shares at
96 pence each of MFI Furniture Group Plc on 20 March 2001 in connection with
the operation of the MFI 2000 Share Option Plan ('the Plan).

All the executive directors of MFI Furniture Group Plc ('the Company') are
deemed to be interested in all of the shares held by the Trustee of the Trust
as potential beneficiaries of the Trust.
