DIRECTORS' SHAREHOLDINGS.


1. We hereby notify you that we were advised on 31 May 2001 that the Trustee
of the MFI Employee Share Trust ('the Trust') acquired 413,627 ordinary shares
of 10 pence each of MFI Furniture Group Plc on 30 May 2001 in connection with
the operation of the MFI 2000 Share Option Plan ('the Plan).


All the executive directors of MFI Furniture Group Plc ('the Company') are
deemed to be interested in all of the shares held by the Trustee of the Trust
as potential beneficiaries of the Trust.


2. We hereby notify you that the executive directors of the Company were
granted options over ordinary shares of 10 pence each at an exercise price of
124.75 pence per share under Section 3 of the Plan (Performance Options) on 30
May 2001. These options were granted on the basis that 50% of the option will
become exercisable subject to growth in EPS being equal to 60% over three
years; increasing on a straight line basis up to 100% of the option becoming
exercisable where EPS growth equals or exceeds 120%. The option will lapse if
the performance condition is not satisfied.


The Company was therefore notified on 31 May 2001 that the executive directors
of the Company acquired the following interests in ordinary shares of the
Company by virtue of such Grants being made, such notification having been
given in accordance with Section 324 of the Companies Act 1985.
