THE MFI 2000 SHARE OPTION PLAN PORTFOLIO
We hereby notify you that we were advised on June 13, 2001 that the Trustee of
the MFI Employee Share Trust ('the Trust') acquired 1,000,000 ordinary shares
of ten pence each of MFI Furniture Group Plc at 133p per share from Merrill
Lynch on June 13, 2001 in connection with the operation of the MFI 2000 Share
Option Plan ('the Plan).
We were also advised on June 13, 2001 that the Trustee of the MFI Employee
Share Trust ('the Trust') acquired 2,032,939 ordinary shares of ten pence each
of MFI Furniture Group Plc at 132.82p per share from Deutsche Bank AG London
on June 13, 2001 in connection with the operation of the MFI 2000 Share Option
Plan ('the Plan).
All the executive directors of MFI Furniture Group Plc ('the Company') are
deemed to be interested in all of the shares held by the Trustee of the Trust
as potential beneficiaries of the Trust.
