MFI FURNITURE GROUP PLC
THE MFI 2000 SHARE OPTION PLAN
1. We hereby notify you that we were advised on 27 September 2001 that the
Trustee of the MFI Employee Share Trust ('the Trust') acquired 1,000,000 MFI
Furniture Group Plc ordinary 10p shares at 104.5 pence and 1,000,000 MFI
Furniture Group Plc ordinary 10p shares at 105 pence 27 September 2001 in
connection with the operation of the MFI 2000 Share Option Plan ('the Plan').
All the executive directors of MFI Furniture Group Plc ('the Company') are
deemed to be interested in all of the shares held by the Trustee of the Trust
as potential beneficiaries of the Trust.
2. On 21 September 2001 the Company granted options over MFI Furniture Group
Plc ordinary 10p shares under Section 1 and Section 2 of the Plan to
approximately 900 managers. This does not include the executive directors. The
options were granted with a view to providing this management group with a
long-term incentive element within their existing remuneration arrangements
and to help align their interests with those of shareholders.
