Rona Alison Fairhead and Michael Francis Geoghegan were appointed as directors
of HSBC Holdings plc with effect from 1 March 2004.

Pursuant to Rule 16.4(a) of the Listing Rules the details of publicly quoted
companies held currently and in the past five years are:
               
     •    Rona Alison Fairhead is a director of Pearson plc. No other 
          directorships of publicly quoted companies have been held in the past 
          5 years; and
          
     •    Michael Francis Geoghegan is a director of HSBC Bank plc. No other
          directorships of publicly quoted companies have been held in the past 5
          years.

There are no matters relating to the appointment of these directors which need
to be disclosed pursuant to Rule 16.4(b) of the Listing Rules.
