Mr C de Croisset, appointed a Director of HSBC Holdings plc on 1 September 2000,
had at the date of his appointment the following interests in HSBC Group

i. 32,500 ordinary shares of US$0.50 each of HSBC Holdings plc registered in
his own name.
ii. Options over shares of Credit Commercial de France (CCF), a subsidiary of
HSBC Holdings plc (all granted for nil consideration).

The options that Mr de Croisset holds were granted by CCF. Following the
success of the HSBC offer for CCF, these options have vested. When these
options are exercised the CCF shares issued will be exchangeable in the same
ratio as for the acquisition of CCF - 13 HSBC Holdings plc ordinary shares of
US$0.50 each for 1 CCF share.
