Notification of Transactions of Directors, Persons Discharging Managerial Responsibility and Connected Persons
This notification is made in accordance with DTR 3.1.4(1)(a).
On 7 April 2016, HSS Hire Group plc (the "Company") granted awards in the form of nil-cost options over ordinary shares in the Company in accordance with the Company's 2015 Long Term Incentive Plan (the "Plan").
The following awards were granted to the Company's Executive Directors and other Persons Discharging Managerial Responsibilities.

Subject to the rules of the Plan, each award will vest subject to performance conditions based on Earnings Per Share and Return on Capital Employed measured over the period ending with the Company's 2018 financial year. To the extent it vests, each award will, ordinarily, be released to the participant at the end of a further two year holding period.
Each of the above named individuals was also granted an award under the Plan in the form of a tax qualifying option over 35,714 shares at an exercise price of £0.84 per share. The tax-qualifying options are subject to the same performance conditions as apply to the nil-cost options and will vest and be released at the same time as the nil-cost options. If a tax qualifying option is exercised at a gain, the nil-cost option will be reduced by the same value to ensure that the combined pre-tax value delivered to the participants is not increased by the grant of the tax qualifying option.
