ITE Group Plc ('ITE') acquires 51% of Intermedia
Exhibitions and Conferences Limited ('Intermedia') and
51% of PT Rantai Expo Internasional ('SEACE')
ITE announces the acquisition of 51% of Intermedia for an
initial cash consideration of US$773,000 and further
amounts based on valuing Intermedia at five times the pre-
tax profits for the year to 30th September 2001. ITE has
granted an option to the Vendors to sell the remaining
49% shareholding in three equal tranches over the three
years to 30th September 2004 based on a valuation of five
times the profit before tax for the preceding year after
the option is exercised.
Intermedia has historically organised two exhibitions,
Beauty Africa and Gulf 4x4, both of which have been
successfully run for a number of years. Intermedia has
recently launched two E-Delivery shows in London and
Amsterdam and an E-Learning show in Paris, all to be held
in 2001.
ITE also announces the acquisition of 51% of SEACE for an
initial payment of US$1.5 million and further payments
based on valuing SEACE at 6 times the pre-tax profits for
the year to 31st December 2000. ITE has granted an option
to the Vendors to sell the remaining 49% shareholding in
three equal tranches over the three years to 30th
September 2004 based on a valuation of six times the
profit before tax for the preceding year after the option
is exercised.
SEACE is based in Jakarta, Indonesia and currently runs
two major exhibitions and conferences covering
Telecommunications and Oil & Gas. These shows will be
expanded in 2001 with new launches including an E-
Business exhibition.
