ITE GROUP PLC ('ITE' or the 'Company')

Share Dealings


The Company has been informed that Mourant & Co. Trustees Limited, Trustee of
the ITE Group Employees'  Share Trust ('the Trust') has sold the following
shares in the Company: on 25 February 2000, 200,000 ordinary shares at a price
of 94.5 pence per share; on 28 February 2000, 150,000 ordinary shares at a
price of 90 pence per share; and on 29 February 2000, 40,000 ordinary shares
at a price of 86 pence per share.  The transactions took place in order to
meet the exercise of share options by former employees of ITE.  Following
these transactions, the Trust now holds 1,837,000 ordinary shares in ITE.

The Trust is a discretionary employee benefit trust which is operated in
conjunction with ITE's share option schemes and provides for the transfer of
shares to employees on the exercise of options granted under the said schemes.
 Executive directors of ITE are, for disclosure purposes, deemed to be
interested in all of the shares referred to above.
