                  UPDATE ON DISCUSSIONS
                            

ITE Group plc ('ITE' or 'the Company') announced on 18
July 2000 that it had entered into preliminary
discussions which may or may not lead to an offer for
ITE.

While the Company remains in discussions with one such
third party, the nature of the discussions have developed
into the third party potentially taking a meaningful
equity stake in ITE as a valuable component of a
strategic partnership.
