Exercise of Options
The Board of the Company announces that on 30 October 2002 Tim Bowen, Chief
Financial Officer, exercised 500,000 share options at an exercise price of 5p
per share. The total consideration paid was £25,000. He has not sold any of the
resulting new shares.
These shares will rank pari passu with all existing ordinary shares. Application
will be made for admission of the new ordinary shares to trading on the
Alternative Investment Market of the London Stock Exchange and dealings are
expected to commence on 7 November 2002.
The ordinary shares referred to are ordinary shares of 1p per share and the
total number of shares in issue following the exercise above is 140,803,902. Tim
Bowen's personal shareholding will increase to 1,863,500 ordinary shares
equating to 1.32% of the issued share capital of the Company.
In addition on 31 October 2002, the Company granted 500,000 share options to
Andrew Fraser and 500,000 share options to Tim Bowen exercisable at a price of
11p per ordinary share.
Tim Bowen has also been appointed Chief Operating Officer of the Company and
will fulfil this role alongside his current position as Chief Financial Officer.
