In accordance with Section 329 of the Companies Act 1985, I hereby notify you
that on 6th April 2004 Mr T J Slack, a director of this Company, exercised an
option over 8000 shares at an option price of 349.9p per share which had been
granted to him in 1994 under the IMI Executive Share Option (1985) Scheme.    Mr
Slack sold 7,644 of the shares (acquired on exercise) at a price of 367.52p per
share and retained 356 shares.
