that on 31st March 2005, Mr T J Slack, a director of this Company, exercised
options, granted to him under the IMI Executive Share Option (1995) Scheme as
follows:

22 March 2000                           45,000           226.6p per share
3 April 2001                            80,000           248.4p per share



In order to fund the purchase and pay the tax charge arising Mr Slack sold
94,236 of the shares (acquired on exercise) at a price of 415p per share.  Mr
Slack retained 30,764 shares.
