Dear Sir

In accordance with Section 329 of the Companies Act 1985, I hereby notify you
that on 18th March 2005, Mr T J Slack, a director of this Company, exercised
options, granted to him in 1999 under the IMI Executive Share Option (1995)
Scheme over 50,000 shares at an option price of 284.6p per share.


In order to fund the purchase and pay the tax charge arising Mr Slack sold
40,320 of the shares (acquired on exercise) at a price of 422.28p per share.  Mr
Slack retained 9,680 shares.
