In accordance with Section 329 of the Companies Act 1985, I hereby notify you
that on 22nd March 2005, Mr T J Slack, a director of this Company, exercised
options, granted to him in 1995 under the IMI Executive Share Option (1985)
Scheme over 15,000 shares at an option price of 301.3p per share.


In order to fund the purchase and pay the tax charge arising Mr Slack sold
10,919 of the shares (acquired on exercise) at a price of 415p per share.  Mr
Slack retained 4,081 shares.
