In accordance with Section 329 of the Companies Act 1985 I hereby notify you
that the following Directors of this Company were today granted options under
the IMI SAYE Share Option (1994) Scheme, at a subscription price of 201 pence
per share (the consideration for the grant of the options being entry into
savings contracts under the Scheme), in respect of the number of Ordinary shares
of 25p each in IMI plc shown below:
