Directors' Notification of Dealing in Shares

that each of the following Directors of this Company today acquired a beneficial
interest in the number of new Ordinary shares of 25p each in IMI plc shown
against his name, under a Finance Act 1978 Profit Sharing Scheme.  The
subscription price was 226p per share:-
