under RNS 2146U - where the date of acquired beneficial interest should have
read 13th January 2004 not 12th January 2004.


In accordance with Section 329 of the Companies Act 1985, I hereby notify you
that on 13th January 2004, each of the following Directors of this Company
acquired a beneficial interest in the number of new shares shown against his
name, namely shares purchased pursuant to their participation in the IMI Share
Purchase Plan (the Company's All Employee Share Ownership Plan) at 340p per
share.
