Cancellation of shares held in Treasury
IMI plc ('the Company') would like to notify the market in accordance with
Listing Rule 12.6.4R, that, on 13 December 2007 the Company cancelled 25,281,586
ordinary shares each with a nominal value of 25 pence per share currently held
in treasury. Following the cancellation of shares held in treasury, the
Company's issued share capital on 13 December 2007 consisted of 338,367,377
ordinary shares of 25 pence. The Company now holds 16 million ordinary shares
in treasury, and the Company is not permitted to exercise voting rights in
respect of those shares. Therefore, the total number of voting rights in the
Company is 322, 367,377.
The above figure (322,367,377) may be used by shareholders as the denominator
for the calculations by which they determine if they are required to notify
their interest in, or a change to their interest in, the Company under the FSA's
Disclosure and Transparency Rules.
