                            Result of AGM and EGM





At the annual general meeting and subsequent extraordinary general meeting of
the Company held earlier today, all the resolutions were duly passed including
the resolution (taken on a poll) approving the waiver by the Panel on
Takeovers and Mergers of the obligation on the Highland Concert Party and the
Cowan Concert Party (as defined in the Prospectus issued by the Company on
13th July, 2001), to make a mandatory general offer for the Company which
would otherwise arise under Rule 9 of the City Code.
