               Result of Extraordinary Meeting
                              
At  the extraordinary general meeting of the Company held at
10.00 a.m. today all the resolutions, including, inter alia,
the  acquisition  of  Groovetech  LLC  and  Lupine  Ventures
Limited  and  the change of the Company's name  to  Internet
Music  &  Media plc, were duly passed.  The associated  open
offer  closes at 3pm this afternoon and the result  will  be
announced as soon as possible thereafter.

The  Acquisitions, the Placing and Open Offer and the  board
changes announced on 24th March, 2000 remain conditional  on
admission  to AIM of the Offer Shares, which is expected  to
be on 4th May, 2000.
