Take-up of Open Offer of 1,950,000 Offer Shares
Following the closing of the Open Offer, announced on 24th
March, 2000, at 3.00 p.m. on 18th April, 2000, valid
applications had been received for 524,427 Offer Shares.
The Directors and certain shareholders, who had maximum
aggregate entitlements under the Open Offer to 1,185,374
Offer Shares, irrevocably undertook to subscribe for 253,500
Offer Shares and not to subscribe for the balance of their
entitlements amounting to 931,874 Offer Shares, which were
placed firm by Insinger Townsley with institutional and
other investors. Therefore the number of Offer Shares
available for take-up by the remaining qualifying
shareholders under the Open Offer was 1,018,126 Offer
Shares.
Accordingly, the take-up by qualifying shareholders
represents 51.5 per cent. of the Offer Shares not placed
firm by Insinger Townsley.
The Open Offer remains conditional, inter alia, on the
admission to AIM of the Offer Shares, which is expected to
be on 4th May, 2000.
