Conversion Reminder re 5.5 per cent. Convertible Unsecured Loan Stock 2009

Impax Group plc has sent a circular to holders of the 5.5 per cent. Convertible
Unsecured Loan Stock 2009 ('the Stock') reminding them they have the right to
convert Stock into Ordinary Shares by giving written notice in the month of
February 2005.

Copies of the conversion reminder may be obtained from the Company's registered
