Impax Group plc
On 2 September 2005, Impax Group plc (the 'Company) received a subscription
notice from Sanne Trust Company Limited, the trustee of the Impax Group Employee
Benefit Trust 2005 (the 'IGEBT') for 8,200,000 million new ordinary shares as
part of the Company's employee incentive arrangements as approved at the
Company's EGM on 4 February 2005. The potential beneficiaries of the IGEBT
include the executive directors and employees of the Company and their families.
Accordingly the Company has allotted 8,200,000 ordinary shares of 1p ('Ordinary
Shares'), subject to admission of the shares to trading on the AIM of the London
Stock Exchange.
Application has been made to the London Stock Exchange for admission of the
8,200,000 Ordinary Shares to AIM. It is expected that admission will become
effective and trading will commence on 8 September 2005. Following allotment the
Company will have 45,705,166 Ordinary Shares in issue.
IGEBT will be interested in 17.9% of the enlarged share capital of the Company.
