                   Results of Extraordinary General Meeting

At a meeting of shareholders held earlier today the resolutions to increase
the authorised share capital of the Company and to provide the Directors with
the appropriate authorities, inter alia, to implement the Placing and Open
Offer and to reduce the amount standing to the credit of the Company's share
premium account described in the prospectus dated 18 October 2000 were
approved.

It is expected that the new Ordinary Shares to be issued under the Placing and
Open Offer will be admitted to trading on the Alternative Investment Market of
the London Stock Exchange on 15 November 2000. As described in the prospectus
Stuart Bickerstaff will become non-executive chairman following admission and
Neville A Brown will continue as a non-executive director.
