Results of Extraordinary General Meeting

At a meeting of shareholders held earlier today the resolutions described in
the prospectus dated 21 May 2001 were passed. The resolutions approved:

the acquisition of Impax Capital Corporation Limited;
the change of the Company's name to Impax Group plc;
the amendment of  the articles of association;
the increase in share capital of the Company;
the Directors' authority to allot relevant securities;
the Directors' power to allot equity securities; and
the adoption of the share option schemes.

It is expected that the existing Ordinary Shares and the new Ordinary Shares
to be issued under the Acquisition and under the Placing and Open Offer will
be admitted to trading on the Alternative Investment Market of the London
Stock Exchange on 19 June 2001. As described in the prospectus the Company's
name will change to Impax Group plc (IPX) and Melville Haggard, Ian Simm and
Geirr Frostmann will join the board.
