                    Results of extraordinary general meeting

At a meeting of shareholders held earlier today the resolution described in the
Prospectus dated 20 August 2003 was passed. The resolution approved the Placing
and Open Offer of 5.5 per cent. Convertible Unsecured Loan Stock 2009 ('Stock')
and amendment of the Company's articles of association.

It is expected that Admission will become effective and that dealings in the
Stock on AIM will commence tomorrow, 16 September 2003.
