Circ re.cancellation of share premium account

Circular re: recommended proposal for the cancellation of the
Company's share premium account and Notice of General Meeting

The directors of Impax Environmental Markets plc announce that a
circular has been sent to shareholders today setting out a proposal
to cancel the Company's share premium account in order to create a
distributable reserve out of which market purchases of the Company's
issued Ordinary Shares can be made as and when the Board sees fit.

Shareholder approval is being sought for the proposal and a notice
convening a general meeting of the Company to be held at 4.30 pm on 4
June 2009 is contained within the circular.

Copies of the above document have been submitted to the UK Listing
Authority and will shortly be available for inspection at the UK
Listing Authority's Document Viewing Facility, which is situated at:-
