Issue of Equity
The Board announces that Impax Environmental Markets plc (the "Company") has today issued 700,000 ordinary shares of 10p nominal value (the "New Ordinary Shares") at a price of 260.00p per share, representing a premium to the prevailing net asset value. It is intended that the New Ordinary Shares will be issued pursuant to the Company's proposed new block listing as detailed in its announcement released on 24 March 2020. The issue of the New Ordinary Shares is conditional upon the block listing being granted.
On the assumption that the block listing comes into effect on 26 March 2020, the Company's issued share capital as of that date will consist of 226,969,355 ordinary shares; and the total number of ordinary shares with voting rights in the Company will be 226,969,355 (with each ordinary share entitling the holder to one vote). This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules. For the purposes of the FCA's Disclosure Guidance and Transparency Rules, the Company's Home Member State is the United Kingdom.
