TOTAL VOTING RIGHTS AND CAPITAL

In accordance with the Disclosure Guidance and Transparency Rules, the Company confirms that as at 28 June 2019, the issued share capital of the Company consisted of 225,737,355 ordinary shares, including 39,223,109 ordinary shares held in treasury. Each ordinary share entitles the holder to one vote. Shares held in treasury do not carry voting rights.

Therefore, the total number of voting rights in the Company was 186,514,246. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the FCA's Disclosure Guidance and Transparency Rules.

For the purposes of the Transparency Directive, the Home Member State of the Company is the United Kingdom.
