                  Inchcape plc - Director's Interest in Shares


On 13 June 2006, Mourant & Co. Trustees Limited, as trustee of the Inchcape
Employee Trust (the 'Trust') transferred 102,618 Ordinary Shares of 25p each in
the Company to individuals exercising awards granted under the Inchcape Deferred
Bonus Plan.


As potential beneficiaries under the Trust, each executive director of the
Company, being Andre Lacroix, Graeme Potts and Barbara Richmond, is treated as
being interested in all shares held by the Trust.
