                  Inchcape plc - Director's Interest in Shares


On 21 March 2006, Mourant & Co. Trustees Limited, as trustee of the Inchcape
Employee Trust (the 'Trust') transferred 2,624 Ordinary Shares of 150p each in
the Company to individuals exercising options granted under the Inchcape 1999
Share Option Plan.


As potential beneficiaries under the Trust, each executive director of the
Company, being Andre Lacroix and Graeme Potts, is treated as being interested in
all shares held by the Trust.
