                 Inchcape plc - Directors' Interests in Shares

On 2 April 2003, Mourant and Co. Trustees Limited, as trustee of the Inchcape
Employee Trust, (the 'Trust') acquired a total of 349,990 Ordinary Shares of
150p each in Inchcape plc (the 'Company') at a price of 764p per share, all of
which are to be used to satisfy Options granted under The Inchcape 1999 Share
Option Plan.

As potential beneficiaries under the Trust, each executive director of the
Company is treated as being interested in all of these shares acquired by the
Trust.

The directors of the Company who may be considered to be potential beneficiaries
of the shares detailed in this notification are:
