                 Inchcape plc - Directors' Interests in Shares


On 17 March 2003, Mourant and Co. Trustees Limited, as trustee of the Inchcape
Employee Trust, ('the Trust') acquired a total of 18,507 Ordinary Shares of 150p
each in Inchcape plc ('the Company') at a price of 745p per share, all of which
are to be used to satisfy Awards granted under the The Inchcape Deferred Bonus
Plan.


As potential beneficiaries under the Trust, each executive director of the
Company is treated as being interested in all of these shares acquired by the
Trust.


The directors of the Company who may be considered to be potential beneficiaries
of the shares detailed in this notification are:
