                 Inchcape plc - Directors' Interests in Shares


On 2 May 2003, Mourant & Co. Trustees Limited, as trustee of the Inchcape
Employee Trust (the 'Trust') transferred 5,516 Ordinary Shares of 150p each in
the Company to an individual following the vesting of an Award under the
Inchcape Deferred Bonus Plan.

As potential beneficiaries under the Trust, each executive director of the
Company, being Peter Johnson, Alan Ferguson and Graeme Potts, is treated as
being interested in all shares held by the Trust.
